These Terms and Conditions govern your use of the services provided by HowardAI_Studio. By purchasing or using our services, you agree to be bound by these terms.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and HowardAI_Studio, a sole proprietorship providing Microsoft 365 security intelligence and consulting services ("HowardAI_Studio," "we," "us," or "our").
By accessing our website, purchasing a subscription, or engaging our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Refund Policy.

HowardAI_Studio provides the following services ("Services"):
The scope, deliverables, timelines, and pricing for each service are described on our Pricing page. For Enterprise and custom engagements, a separate Statement of Work ("SOW") may be provided and shall supplement these Terms.
You must be at least 18 years of age and have the legal capacity to enter into a binding contract. If you are purchasing on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To deliver subscription services, you agree to provide HowardAI_Studio with the necessary access permissions to your Microsoft 365 tenant, including creating an App Registration with the Security Reader role in your Azure Active Directory / Entra ID tenant. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. HowardAI_Studio is not liable for issues arising from inaccurate information you provide.
All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. When you purchase a service, you are contracting with Paddle for the payment; Paddle then licenses the service to you from HowardAI_Studio. Paddle's terms of service are available at paddle.com.
Subscription plans are billed on a monthly basis. Your subscription will automatically renew each month until cancelled. You authorize Paddle to charge your payment method on a recurring monthly basis.
HowardAI_Studio reserves the right to change pricing with at least 30 days' notice. Price changes will not affect your current billing cycle. Continued use after the effective date of the price change constitutes acceptance of the new pricing.
Paddle, as Merchant of Record, is responsible for collecting and remitting applicable taxes. Prices displayed may or may not include applicable taxes depending on your jurisdiction.
Subscription plans may include a 14-day free trial. No charge will be made during the trial period. If you do not cancel before the trial ends, you will be automatically charged for the first billing cycle.
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle. For refund eligibility and procedures, please refer to our Refund Policy.
All content, software, methodologies, templates, and materials created by HowardAI_Studio and provided as part of the Services remain the intellectual property of HowardAI_Studio, except as expressly set out in these Terms or a separate SOW.
Upon full payment, you receive a non-exclusive, perpetual license to use deliverables (such as specification documents or assessment reports) for your internal business purposes. You may not resell, sublicense, or redistribute deliverables without prior written consent.
You retain all rights to your data. You grant HowardAI_Studio a limited license to access and process your Microsoft 365 data solely for the purpose of delivering the Services. We will not use your data for any other purpose.
Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the data practices described in our Privacy Policy.
Both parties agree to keep confidential all non-public information shared in connection with the Services, including but not limited to security configurations, tenant details, and business information. This obligation survives termination of these Terms for a period of three (3) years.

The Services are provided "as is" and "as available." HowardAI_Studio makes no representations or warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
HowardAI_Studio does not warrant that the Services will be uninterrupted, error-free, or that all security threats will be detected. Security monitoring is an enhancement tool and does not guarantee the prevention of all security incidents.
To the maximum extent permitted by applicable law, HowardAI_Studio's total liability for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to HowardAI_Studio in the three (3) months preceding the claim.
In no event shall HowardAI_Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless HowardAI_Studio from any claims, damages, losses, and costs (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of any applicable law.
These Terms are effective from the date you first use the Services and continue until terminated.
You may terminate your subscription at any time by cancelling through Paddle's customer portal or by contacting us at sales@howardaistudio.com.
We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to make required payments.
Upon termination, your access to the Services will cease. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
HowardAI_Studio reserves the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the appropriate court of competent jurisdiction.
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and HowardAI_Studio with respect to the Services and supersede all prior agreements and understandings.
